Terms of Service

THESE TERMS AND CONDITIONS ARE THE CONTRACT BETWEEN YOU AND LEARNSPRING LIMITED. PLEASE READ THEM CAREFULLY BEFORE SIGNING UP FOR OR USING THIS SERVICE.

By using the service provided on schoolea.com website's ("Service"), a service of Learnspring Limited ("Schoolea"), you are agreeing to be bound by the following terms and conditions ("Terms of Service").

Use as a school or organization​

  • You must use a valid email address for your Schoolea account.
  • You must not use the Service for any illegal or abusive purposes.
  • Only one account per customer is allowed.
  • You are solely responsible for the security of your account and keeping your password safe.
  • Your contact details must be kept up to date. If we cannot contact you, your account may be suspended.

Use as an event attendee​

  • You must not use the Service for any illegal or abusive purposes.
  • You are solely responsible for the security of your account.
  • You are solely responsible for keeping your personal information associated with your account up-to-date.
  • You have the option to delete your personal information at any time by using the Delete Account button in your Settings page.

Payment and Billing​

  • The Schoolea Service is a subscription service for schools and organizations. You pay in advance for each billing cycle on the first day of that cycle.
  • Your Schoolea account will not be renewed automatically. You must renew your account before your subscription expires to continue using the Schoolea Service.
  • You are responsible for all charges incurred related to your Schoolea account, including any applicable taxes or extra service fees.
  • New accounts include a free trial period. Unless you cancel your account before billing is processed at the end of the trial period, you will be billed for the first billing cycle.
  • Payment processing is handled securely by Stripe. We do not store complete payment card details on our servers.

Email Notifications​

Schoolea may send you emails relating to your account, bookings and other activities on the Website. Emails will contain clear and obvious instructions for how you can unsubscribe from further emails.

Data Retention and Privacy​

Your use of the Service is also governed by our Privacy Policy which are incorporated by reference into these Terms. You have rights to access, correct, and request deletion of your personal information as described in our Privacy Policy. We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits.

Event data (including attendee information, bookings, and form responses) is automatically anonymized 90 days after an event's last active date. This process is irreversible and tou are responsible for exporting any event data you wish to retain before automatic anonymization occurs.

Refund Policy​

If you wish to ask for a refund or have an invoice cancelled, you need to email us within 7 days (one week) of the invoice date. Please include your name, the email you use to log in, and the invoice number of the invoice in question. We will action your request and refund the full amount within 7 working days.

Cancellation and Termination of Service​

  • You may at any time cancel your Schoolea account by sending an email to us, provided that any past invoices have been paid.
  • Any abuse of the Service will lead to termination of your account. Schoolea reserves the right to decide what is considered abuse of the Service.

Changes to Terms of Service​

These Terms of Service may be updated from time to time to reflect changes to our service offerings, legal or regulatory requirements, pricing or billing changes, and security or operational improvements.

Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your account.

Disclaimer​

  • The Schoolea Service is provided "as is" and "as available".
  • Schoolea reserves the right to modify the Service from time to time at any time, including adding and removing features and package types.
  • Schoolea reserves the right to discontinue the Service at any time after a 30-day notice via email.
  • Schoolea reserves the right to change the prices for the Service and any connected extra services at any time.
  • Schoolea gives no warranties regarding the correctness of the data collected with the Service or any potential corruption or loss of such data.

Limitation of Liability​

You expressly understand and agree that Schoolea shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Schoolea has been advised of the possibility of such damages), resulting from:

  1. the use or the inability to use the Schoolea service;
  2. the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Schoolea service;
  3. unauthorized access to or alteration of your transmissions or data;
  4. statements or conduct of any third party on the Schoolea service; or
  5. any other matter relating to the Schoolea service.

Any decisions or claims you make based on data from the Schoolea Service are your sole responsibility. Schoolea shall not be held liable for any such decisions or claims. In no event shall Schoolea total liability to you for all damages, losses, and causes of action (whether in contract, tort (including, but not limited to, negligence), or otherwise) exceed the amount paid by you, if any, for accessing this website.

Indemnification​

You agree to indemnify, defend and hold harmless Schoolea and its officers, directors, employees, consultants and agents from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorney fees) arising from your use of the Schoolea service, your violation of the terms of use or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity.

You agree to immediately notify Schoolea of any unauthorized use of your account or any other breach of security known to you.

If any part of these Terms of Service would be determined by any competent authority to be invalid, unlawful or unenforceable, the remainder of the Terms of Service shall continue to be valid and enforceable to the fullest extent permitted by law.

Governing Law and Jurisdiction​

These Terms of Service shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

Acceptance of Terms​

By creating an account or using the Schoolea Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
